01. Acceptance of Terms
By accessing and using the website proyectos.cool and the digital infrastructure, automation, and AI agent services provided by Obed Virgen Alanis ("The Agency"), you agree to be bound by these Terms & Conditions. If you disagree with any part of the terms, you may not access the services.
02. Service Description
The Agency provides B2B consulting services, custom software architecture development, process automation, and Artificial Intelligence deployment (AIaaS / SaaS). Exact scope, delivery timelines (MVPs), and Return on Investment (ROI) metrics are defined in writing in each client's Technical and Commercial Proposal.
03. Intellectual Property and License of Use
Client Data
All collected information, conversation histories, generated prospects, and documents provided for the knowledge base are the exclusive and permanent property of the Client, guaranteeing full portability and confidentiality.
Technological Infrastructure
Source code, system architecture, logical flows, and the Artificial Intelligence engine constitute exclusive Intellectual Property of The Agency. The Client receives a commercial license to use the infrastructure, valid and active solely during the periods in which the maintenance or monthly retainer is paid. The Agency reserves the right to pause or suspend the infrastructure in case of non-payment.
04. Limitation of Liability
The Agency develops systems under strict quality and security standards (native architectures via APIs and secure databases). However, The Agency will not be liable for outages of third-party servers (e.g. global outages of Meta, OpenAI, or CRM providers), indirect loss of profits, or business interruptions outside our direct technical control. AI Agents are designed for operational assistance and data capture; final business decisions always rest with the Client.
05. Governing Law and Jurisdiction
These terms shall be governed and interpreted in accordance with the laws of the United Mexican States. For any dispute, the parties submit to the jurisdiction of the competent courts in the city of Monterrey, Nuevo León.
